THE Contract __

Saint-Petersburg ____________________2000

 

Consulting company PrimeX, a limited liability partnership, hereinafter referred to as the Service Provider, represented by Mr. Ivanov Dmitry Mikhajlovich, General Director, acting pursuant to the basis of the Charter on the one hand and______________________________________________________________________ entered into the present Contract as follows:

 

Subject of the contract.

1.1. The Client orders, the Service Provider shell provide to the Client the service of searching for candidates according the Requirements made by the Client. (.5)

 

Obligations Parties.

2.1. The Service Providers obligations:

2.1.1. To render service, stipulated by the present Contract.

2.1.2. The SERVICE PROVIDER shell executes the candidates search; deliver to the CLIENT a resume, provided by the candidate and opinion on each candidate. Recommendations, information to verify the personal details stated by the candidate.

2.1.3. To present not less than 2 and no more 5 candidates.

2.1.4. The SERVICE PROVIDER shell arrange for interviews by the CLIENT with each of the selected candidates for time convenient for the CLIENT at office of the SERVICE PROVIDER or in territory of the CLIENT.

2.1.5. The SERVICE PROVIDER undertakes to give to the CLIENT the right to free-of-charge replacement of the Personnel during a warranty period (.4.1), and also professional consultations on disputed situations in labors relations with the Personnel.

2.1.6. The SERVICE PROVIDER undertakes during a warranty period (.4.1), to give the right to free-of-charge selection of the temporary Personnel to the period of illness or holiday of the basic worker.

2.1.7. In case of impossibility of performance of services under the present Contract to notify on it the CLIENT.

2.1.8. the SERVICE PROVIDER shall undertake not to disclose to a third party any information received from the CLIENT in connection with the performance of this agreement.

2.1.9. the SERVICE PROVIDER shall give necessary professional consultations on selection and adjustment of labor relations with the personnel.

2.2. Obligations of the CLIENT:

2.2.1. the CLIENT shall provide to the SERVICE PROVIDER the job description for the position, qualification requirements as well as the information on the terms of employment.

2.2.2 the CLIENT shall within three days from the moment of reception of the resume of the candidate appoint the date of possible interview, or shall inform on refusal.

2.2.3. the CLIENT shall notify the SERVICE PROVIDER on the consent or to give reason for refusal in employment of the Personnel not later than 5 days after carrying out with him interviews.

2.2.4. the CLIENT shall not undertake attempts of an establishment of contact to the candidate without intermediary of the SERVICE PROVIDER.

2.2.5. In case of acceptance by the CLIENT of the decision on hiring (or not hiring) the Personnel to inform the SERVICE PROVIDER on the decision.

2.2.6. the CLIENT shall enter into with the selected candidate the Labor agreement with observance of the current legislation of the Russian Federation.

2.2.7. the CLIENT shall sign the Act about the rendered services within 3 days from the date of commencement of the candidate. the CLIENT shall pay services of the SERVICE PROVIDER at a rate of and in the terms specified in the present Contract.

 

Fees and Payments.

3.1. The fees payable for the SERVICE Providers services shall be equal to______________________ (_______________________________________), without the NDS (the NDS is not assessed article 26.2 NK the Russian Federation).

3.2. The customer pays _____ % of cost of services at signing the present CONTRACT, and _____ % of cost of services are paid on the basis of the Act about the rendered services on the fact of an commencement of the candidate.

3.3. The money paid for selection of the Personnel, are not a subject to return.

3.4. In case payment will be made after 5 (five) bank days from the date of, drawing up of the Act following

Day about the rendered services, the CLIENT is obliged to pay to the SERVICE PROVIDER fine at the rate of 0,5 % from the sum of payment per every day of delay.

3.5. If the CLIENT employs more than one candidate introduced by the SERVICE PROVIDER or accept the candidate on any other position the CLIENT shall pay to THE SERVICE PROVIDER compensation according to .3.1 or the additional arrangement.

Duration of the Contract.

4.1. Duration of guarantee replacement under the present contract is counted from the date of the commencement of the candidate which is specified in the certificate about the rendered services and makes 6 months.

4.2. This Contract shall be effective from the date of its execution by the parties and valid till ________________2000 years and may be automatically extended

Miscellaneous Provisions.

6.1. This agreement shall be executed in two counterparts having an identical validity. All amendments to and modifications of this Contract shall be valid only if made in writing and signed by both Parties.

6.2. This Contract expresses and makes all contractual conditions and understanding between the Parties concerning all mentioned questions, thus all the previous discussions, promises and representations between the Parties if those were available, lose force.

6.3. The Parties bear the responsibility for non-observance of conditions of this contract or default from obligations according to the current legislation of the Russian Federation. Disputes between the Parties are solved by negotiations on the basis of the Contract and the current legislation of the Russian Federation or courts of St.-Petersburg.
